These Terms of Service ("Terms") govern your use of the ClickLogic website (clicklogic.io) and the Google Ads management services provided by WabHub, Inc. ("ClickLogic," "we," "us," or "our"). By using our website or engaging our services, you agree to these Terms.

ClickLogic provides Google Ads campaign management services, including but not limited to:

3. Account Access

To manage your campaigns, you will grant ClickLogic access to your Google Ads account through Google's standard MCC linking process. You retain full ownership of your Google Ads account and may revoke access at any time. ClickLogic will not make changes to account ownership, billing settings, or user permissions without your explicit consent.

4. Google Ads API Usage

We use the Google Ads API as part of our service delivery to efficiently manage campaigns at scale. Our API usage complies with the Google Ads API Terms and Conditions. We use the API for reporting, campaign management, and optimization purposes only. All API credentials are securely stored and not shared with third parties.

5. Fees and Payment

Service fees are agreed upon separately between ClickLogic and each client. Ad spend is billed directly by Google to your Google Ads account. ClickLogic's management fees are separate from your ad spend.

6. No Guarantee of Results

While we apply industry best practices and data-driven strategies to optimize your campaigns, we cannot guarantee specific results such as a certain number of clicks, conversions, or return on ad spend. Advertising performance depends on many factors including market conditions, competition, budget, and product/service offering.

7. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive business information shared during the course of the engagement. This includes campaign data, strategies, account credentials, and business metrics.

8. Limitation of Liability

ClickLogic's total liability for any claims arising from our services shall not exceed the total management fees paid by the client in the three months preceding the claim. We are not liable for losses resulting from Google Ads platform changes, policy enforcement actions by Google, or factors outside our control.

9. Termination

Either party may terminate the service relationship with 30 days written notice. Upon termination, ClickLogic will remove its access to your Google Ads account and provide any outstanding reports. Pre-paid fees for unused service periods will be refunded on a pro-rata basis.

10. Intellectual Property

Campaign strategies, ad copy, and other materials created by ClickLogic for your account become your property upon payment. Internal tools and proprietary software developed by ClickLogic remain our intellectual property.

11. Modifications

We may update these Terms from time to time. Material changes will be communicated to active clients via email. Continued use of our services after changes constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of the State of California, United States.
